Terms Of Service
The agreement between you and FORMTA LTD when you use the Formta app. We've kept it as plain as we can.
1. Who We Are
Formta is run by FORMTA LTD, a private limited company registered in England and Wales, company number [company number] ("Formta", "we", "us"). Our registered office is at 86–90 Paul Street, London EC2A 4NE, United Kingdom. These terms are an agreement between you and Formta Ltd. You can reach us at info@formta.com.
2. Agreeing To These Terms
When you create an account or use Formta, you agree to these terms and to our privacy policy. If you use Formta for a business, you agree for that business too, and you confirm you're allowed to.
You need to be 16 or over to use Formta.
3. Your Account
- Use your real name and an email address you check
- Keep your password to yourself, and turn on two-factor authentication if you can
- You're responsible for what happens in your account. If you think someone else has got into it, tell us right away
- An account is for one person. Everyone in a team has their own
4. Plans, The Trial And Paying
- The trial: a new account can get the Pro plan free for 30 days, with no card needed. When the trial ends, you need a paid plan to keep opening your projects. Your work isn't deleted when the trial ends
- Plans: what each plan includes, and what it costs, is on our pricing
- Paddle: Paddle is our merchant of record, so when you pay, you're buying from Paddle, under Paddle's buyer terms. Those terms also cover refunds and your rights as a consumer. These terms cover using Formta itself. Your invoices come from Paddle, and payments show on your bank statement as PADDLE.NET* FORMTA LTD
- Renewal: your plan renews every month or every year until you cancel it. You can cancel, pause or change it any time in Account → Billing. When you cancel, your plan carries on until the end of the period you've paid for
- Refunds: we don't refund time you've already paid for, unless the law or Paddle's buyer terms give you the right to a refund. Prices are shown without VAT, and Paddle adds it at checkout where it applies. If you think you're owed a refund, email info@formta.com
- Teams: on Studio and Pro, the team admin pays for the people in the team. A Studio team can have up to 25 people. A team can also pay for someone who has their own plan. That person's own next payment then moves back by the same amount of time
- Price changes: we'll email you at least 30 days before a new price applies to you, so you can cancel first if you'd like
5. When A Payment Fails Or A Plan Is Paused
While your subscription is paused, or while a payment hasn't gone through, the projects, inventories, calendars and client links it pays for are closed for everyone, your clients included. Nothing is deleted, nobody is removed from the team, and everything opens again as soon as the subscription is running again. You can still manage your team and your billing the whole time, so you can put it right.
If a payment still hasn't gone through after 30 days, the subscription is cancelled and the team stays closed. Your work isn't deleted, and buying a plan again opens everything again.
6. Your Work
- It's yours: you own everything you create and upload in Formta. We don't claim any rights to it
- What you allow us to do: to run Formta, we need to store and copy your work, and show it to you, to the team members you give access to and to the clients you send it to. You allow us to do that, only for that, for as long as your work is in Formta
- AI: the AI setting in the settings in the right sidebar is off unless you turn it on. If you turn it on, we use records of how you use Formta, like which features and elements you use and which file formats you export to, with your job title, industry, plan and the size of your team, for training our AI models. We never use your creative work for training our AI models. That's your files, pictures, text and everything else in your projects. While the setting is on, a project you delete is kept, hidden, for 2 years. You can turn it off any time, and those projects are then deleted once your plan's recovery days have passed
- Your responsibility: only upload what you have the right to use, and only add people, like your clients, whose details you're allowed to share with us. If you add someone else's personal data, you're responsible for having a lawful reason to
- Backups: we back up Formta every day, but keep your own copies of anything important. Most elements can be exported as files
- Working offline: changes you make while you're offline are only on your device until they're saved to Formta, so our backups don't have them yet. They're removed from your device, and we can't get them back, if you clear your browser's data, if you sign out before they're saved, if Formta turns a change down five times, or if you're offline for longer than your plan covers (7 days on Personal and Studio, and 30 days on Pro and during the free trial). Download a backup file each time you finish working offline. It's the only way to add those changes back. Don't open or change the backup file. Formta checks it's exactly as it was when you downloaded it, so if anything in it has changed, it can't be uploaded and none of its changes can be added back. When you work offline, you accept that offline changes you haven't backed up can be lost
7. Clients You Invite
You can send pages to your clients. Each client creates a free account to see them, and only sees what you send them and what you share with them. You're responsible for what you send. High-resolution files you deliver to a client can be downloaded for 7 days.
8. Using Formta Fairly
Don't use Formta to:
- Break the law, or help someone else break it
- Upload anything harmful, like viruses or malware, or anything you don't have the rights to
- Harass, threaten or deceive anyone, or share someone else's private information without their permission
- Try to get into accounts, projects or data that aren't yours, or test our security without our written permission
- Overload Formta, copy it, or get around the limits of your plan
Every file and link is checked before it's stored, and some types of files can't be uploaded at all. Anything that doesn't pass our security checks isn't stored on our servers. An account that looks like it's being misused is blocked, and we email you to say why. Some blocks end by themselves, and some are permanent. If your account is blocked because you broke these terms, there's no guarantee you'll get a refund for the time it's blocked. If we believe something in Formta is illegal or puts someone at risk, we will report it to the police or another authority, and give them what the law requires.
9. Photos And Artwork From Other Sources
Photos from Pexels and artwork from the Museum Collections come with their own licences. Check the licence before you use something in work for a client. The artwork details in Formta link to the museum's own page, where you can find the rights for each piece.
10. Storage Space And Limits
Each plan has its own storage space, file sizes and file types. When your storage space is full, you can't upload new files until you free up space or add more. You can still open and work on your projects, and delete files to make room.
11. Measurements, Weights And Loads
The sizes, areas, weights, loads and counts Formta works out, in the Blueprint and anywhere else, are a guide to help you plan. They're not a guarantee, and not a structural, rigging or safety calculation. Before anything is built, rigged, hung or opened to the public, have a qualified professional, like a structural engineer or a rigger, check the numbers. You're responsible for checking the numbers in your projects are right.
12. Availability And Support
We work hard to keep Formta running, but we can't promise it will always be available or without mistakes. Sometimes we need to take it offline for maintenance, and when we can, we'll tell you in the app beforehand. While you're offline, your changes are kept on your device until they're saved, as described in section 6. How quickly support answers depends on your plan.
13. Closing Your Account
- You can delete your account any time in Account → Billing. Deleting it is permanent, so export anything you want to keep first
- Deleted projects can be recovered for 7 days on Studio, and for 30 days on Pro and during the free trial. On Personal, a deleted project can't be recovered
- Accounts nobody uses: if nobody has signed in to or paid for an account in 21 months, we email a warning. If it's still unused 3 months later, we delete it. An account that's being paid for is never deleted for this
- We can close an account that seriously or repeatedly breaks these terms
14. Our Responsibility To You
Nothing in these terms limits our responsibility for death or personal injury caused by our negligence, for fraud, or for anything else the law doesn't allow us to limit. If you use Formta as a consumer, you also keep all the rights consumer law gives you.
Apart from that, we're not responsible for indirect losses, like lost profits, lost business or lost opportunities. Our total responsibility to you for anything to do with Formta is limited to what you've paid for Formta in the 12 months before the problem happened.
15. Changes To These Terms
When we change these terms, we'll update the date at the top and email you at least 14 days before the change starts. If you don't agree with the change, you can cancel your plan or delete your account before then.
16. The Law That Applies
These terms are governed by the law of England and Wales, and the courts of England and Wales handle any dispute. If you're a consumer living somewhere else in the UK or in the EU, you can also use the courts where you live, and you keep the protections your local law gives you.
